According to SpaceX’s (NASDAQ: SPCX) initial public offering (IPO) filings, common stock will be eligible for dividends if and when they are declared by the board of directors – and if legally available funds permit such payments.
Three months after the debut, investors still have no reason to expect cash dividends in the foreseeable future, as any official news regarding shareholder rewards is yet to hit the market.
“Subject to the prior rights of holders of all classes and series of stock at the time outstanding having prior rights as to dividends, holders of SpaceX Common Stock shall be entitled to receive, when, as and if declared by the Board of Directors, out of any funds legally available,” the Form 10-Q read.
In line with the filings submitted to the United States Securities and Exchange Commission(SEC), SpaceX appears instead to focus on reinvesting its earnings to bolster continued growth and business operations.
SpaceX dividends still not in sight
Of course, the space company’s dividend policy could change in the future. But the development will depend on a range of factors, including operating results, financial condition, capital requirements, investment opportunities and legal restrictions.
SpaceX also noted that covenants in its existing credit agreements restrict its ability to pay dividends, while future borrowing arrangements could impose additional restrictions.
“We currently intend to retain future earnings, if any, to finance the growth of our business. Our future dividend policy is within the discretion of our board and will depend upon then-existing conditions, including our results of operations, financial condition, capital requirements, investment opportunities, statutory restrictions on our ability to pay dividends,” Form S-1 added.
For investors, this disclosure means that shareholder returns are currently expected to depend primarily on changes in the value of the SpaceX stock itself, not dividend income. That is, the company’s approach reflects a focus on retaining capital for expansion rather than distributing earnings to shareholders.
However, since Wall Street remains largely bullish on the company, the likelihood of SpaceX stock dividends coming at some point in the future is looking solid.
